End User License Agreement

This is a legally binding agreement between you ("Licensee") and PackNative ("Licensor"), an entity operating under the laws of India.

1. Proprietorship Notice

The Software is provided by a Sole Proprietorship based in Odisha, India. It is provided purely as a technical tool for B2B commercial use. This Software is NOT intended for "Consumers" as defined under the Consumer Protection Act, 2019. By using this software, you confirm you are a business entity or professional engineer.

2. Grant of License

Licensor grants you a revocable, non-exclusive, non-transferable, limited license to download, install, and use the Software solely for your internal business purposes within the territory of India and abroad, subject to the terms of this Agreement.

3. Manufacturing Disclaimer

CRITICAL WARNING FOR MANUFACTURING:

The Software generates geometric data (DXF, PDF, PLT) used to drive physical machinery.You are solely responsible for verifying all dimensions, dielines, and cost calculations before production.

Licensor is NOT responsible for:

  • Wasted material (cardboard, ink, substrates).
  • Damage to cutting tables (Zünd/Kongsberg), tooling, or machinery.
  • Financial loss due to incorrect pricing algorithms.

4. Disclaimer of Warranties

NO WARRANTY / AS-IS. THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT OF THIRD-PARTY RIGHTS.

5. Limitation of Liability

MAXIMUM LIABILITY CAP:

TO THE FULLEST EXTENT PERMITTED BY INDIAN LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION).

NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR, THE ENTIRE LIABILITY OF LICENSOR UNDER ANY PROVISION OF THIS AGREEMENT SHALL BE LIMITED TO THE GREATER OF: (A) THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE IN THE LAST 12 MONTHS; OR (B) ₹1,000 INR.

6. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of India.

Subject to the Arbitration clause below, the courts located in Bhubaneswar, Odisha shall have exclusive jurisdiction over any disputes arising out of or in connection with this Agreement.

7. Dispute Resolution (Arbitration)

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be referred to and finally resolved bybinding arbitration under the Arbitration and Conciliation Act, 1996 (and any subsequent amendments).

  • Seat of Arbitration: Bhubaneswar, Odisha, India.
  • Language: English.
  • Arbitrator: A sole arbitrator appointed by the Licensor.

8. Information Technology Act

You agree not to use the Software to host, display, upload, modify, publish, transmit, store, update or share any information that is prohibited under the Information Technology Act, 2000 or any other applicable laws in force in India.

By installing the software, you acknowledge you have read this agreement, understand it, and agree to be bound by its terms.
